NOTICE OF THE 129TH ANNUAL GENERAL MEETING


In accordance with the Club's Constitution, the notice of the Annual General Meeting was placed in the Herald-Sun on Monday, 28 October 2013. The notice was also posted on the Club's website.

The Annual General Meeting of the Richmond Football Club Limited ("the Club") will be held in the ME Bank Centre at Punt Road Oval on Wednesday 11 December 2013 at 6.00pm to transact the following business:

1. To receive and consider the Annual Financial Report (compromising the financial statements and notes for the year and the Directors' declaration about the statements and notes) and notes and the Directors' Report and Declaration;

2. Declaration of Poll for the Election of two Directors of the Club;

3. Presentation of Club Award Winners;

4. Election of Life Members; and

5. To transact any other business which may lawfully be brought forward.

Note: In respect to any matter about which a vote of members is held, including the election of Office Bearers and business conducted at the Annual General Meeting, each members eligible to vote is entitled to one (1) vote only. Every member entitled to attend and vote at the meeting may appoint a proxy. A proxy need not be a member. Members wishing to cast a proxy vote can contact the Company Secretary at the Club on (03) 9426 4415 or mstahl@richmondfc.com.au in order to gain a proxy form. Proxies need to be received at the Club not less than 48 hours prior to the time sat down for the meeting.

Bump

AGM on tonight at 6pm in MR room at PRO

Not sure how we can actually have one:  :-\

* when the financials haven't been published on the web-site or copies of the concise ones distubted to members - so how can people vote to accept them  ;D

* members haven't been notified of the election results

 ;D ;D

But at least we know 18 people will receive Life Memberships  :clapping

the members will slowly lose control of our club after they voted to allow the committee  to put there mates on the board without an election or whatever that resolution was.

I understand your point Ramps but you are not quite right in your statement

The resolution you speak of was the one 2 years ago where it allowed for the board to appoint directors for 3 year terms. These are Board appointed directors

This then meant that instead of each year there being 3 director vacancies that the members could vote on there would only be 2.

At the same time the board also introduced a nominations committee which basically interviews people wanting to be or nominating to on the board or in the case of the board appointed directors interviews the candidates the board puts forward and recommends to the board who to appoint

I am on the record as saying I was against the changes regarding the electing/appointing of directors. But when it's all said and done if people were so concerned about it they should have turned up to the AGM at the time and voted against it. It is sad reflection on the membership base that on that night there were only 4 people who voted against but I still hear people complain that it shoudn't have been voted in and the constitution changed. As the saying goes you can't have your cake and eat it too.

Anyway.....

There is no election this year because for the 2 positions available there were only 2 nominations so there is no need for an election. You can only have an election if the number of nominees is greater than the vacancies

No need to ask questions Stig when one has already got the answers  ;D

And BTW there was 1 question last night  ;D Asked of the Treasurer about what the Clubs plans are to safeguard the financial future of the Club now that we are out of debt. Interestingly it was an answer that a pollie would have been proud of, said alot without actually answering the question  ;D

Gee, some massive increase in sponsorship 3m and gaming 1.8m revenues. Notwithstanding the increase in footy operations . Putting together a robust bus model :clapping

Wonder what those numbers would like if you took out the FTF revenues?

Really think the Club needs to declare that as separate figure rather than clumping it in with one of the other groups eg sponsorship (that's where I assume they put it)

How robust the business model is dependant to a fair degree on the success of the FTF and how much it generates going forward

Not sure what numbers you are using but to answer to your question it is Because cash and revenues are not the same thing just like profit doesn't equal how much you have.

You can receive cash in advance for income that relates to next financial year and that payment cannot be recorded as revenue until it is "earned" but has to be recorded on the balance sheet & the cash flow statement.

Eg if they have rec'd donations to the FTF that are for FY2014 then it would recorded as cash received but not as revenue. Ditto those m'ship the sold late in the year were people joined for 2014 and got the remainder of 2013 for free. That revenue is for 2014 so cannot be included as revenue in 2013

If you look at the balance sheet there is amount of $975k+ in the liabilities called "income recd in advance" that would be recorded somewhere on the cash flow statement
