135th ANNUAL GENERAL MEETING

The Annual General Meeting of the Richmond Football Club Limited (“the Club”) will be held at the Swinburne Centre at Punt Road Oval on Monday, 9 December 2019 at 5.30pm.

Business 

1. To receive and consider the Annual Financial Report and the Directors’ Report and Declaration;
2. Declaration of the results of the election of two Directors of the Club; 
3. Proposed changes to the Club’s Constitution;
4. Presentation of Club Award Winners;
5. Recognition of Life Members; and
6. To transact any other business which may lawfully be brought forward.

ELECTION OF DIRECTORS

In accordance with the Club’s Constitution, the Director positions of Peggy O’Neal and Emmett Dunne are to be filled by an election. 

Each of these Directors being eligible, each may offer themselves for election.

Nominations for the position of Director will be accepted at the Club until 5.00pm on Friday, 8 November 2019.  All nominees must be a member of the Club and nominations signed by two members of the Club (in accordance with the Club’s Constitution).

Under the Constitution of the Club, the nominee and their proposer and seconder and all members intending to vote must have been a financial member of the Club for the 2019 year by 31 August 2019.

Nominees should be aware that due to Director obligations, any new Director is to be subject to a police investigation and any other enquiries necessary to ensure that the Director meets the criteria of the relevant Acts and Regulations.

Probably not as much as you expect. But frankly with where we are sitting at the moment (dept free, A grade facilities etc) any profit can be put aside for a rainy day, and to ensure we never again almost lose the club.

One-game Marlion among Tigers’ new life members

Marlion Pickett’s life-changing premiership heroics will be capped with life membership at Richmond’s annual general meeting on Monday December 9.

And with Pickett already back training at Punt Road and settling into Melbourne life, his friends are wondering what he is capable of achieving in his first full season of AFL.

Pickett’s single AFL game saw him become a premiership player who ran third in Norm Smith Medal voting, with the flag automatically making him eligible for Tigers life membership.

He will join Tom Lynch, Liam Baker, Shai Bolton, Jayden Short and Ivan Soldo as first-time Tiger premiership players who didn’t play in the 2017 premiership.

Mid-season recruit Pickett’s fortune came in comparison to St Kilda legend Trevor Barker, who played 230 AFL games without a single final.

The Tigers will again declare a phenomenal profit off the back of bumper revenue, the league’s highest home attendances (59,987) and merchandise sales from the premiership.

Last year’s net profit was $4.21 million after a $3.06 million profit in the 2017 season, with the Tigers last year stating their cash reserves of $13.7 million.

Pickett and his wife Jess have settled into Thornbury with their four children after he signed a one-year deal with the Tigers late in the season.

Older children Marlion Jr and Latrelle have settled into school and Jess has signed up to play AFLW with the local Fitzroy team after playing with South Fremantle.

But despite his Grand Final brilliance, he is a remarkable unflappable character who is looking forward to establishing a long-term career at the Tigers.

Pickett’s ability to elevate his game on the big stage stunned the football world.

But his manager Anthony van der Wielen told the Herald Sun it was exactly the kind of performance he had churned out over the years in the WAFL.

“He is a very simple man. Marlion and his family are just enjoying time in Melbourne,” he said.

“I know he has been doing a fair bit of training and maintenance stuff. He hasn’t done a full pre-season before so if he can get fitter he can play more game time. It’s about getting through a season injury free and fitter and stronger.

“He has a couple of little endorsement deals and a few things have popped up but he is just mainly settling his family down. They only got here a few weeks before the Grand Final.”

We receive $1 million for winning the flag.

Prize money is awarded to the victorious club.

However the amount is probably not reflective of the magnitude of participating in the event. It is often assumed simply that the winner of the premiership typically experiences an increase in revenue through increases in membership and merchandise sales.

The current cash prize for the winning club is A$1 million.


Also we receive the E. L. Wilson Shield out of curiosity.

The premier is also recorded on the perpetual E. L. Wilson Shield, which resides at AFL House. The shield, inaugurated in 1929, was named after Edwin Lionel Wilson, who was the secretary of the Victorian Football League from its inception in 1897 until his retirement in 1929. It was initially discontinued after 1978, when there was no room remaining on the shield for more teams.

In 2016, the shield was rediscovered under a stairwell at AFL House. It was refurbished, with extra space being added to bring the shield up to date, and it was reintroduced as a premiership trophy.

Amendments to the Club Constitution

Resolution One:


That existing Clause 9.2.1 is amended by:

* deleting the words “at least once a month during the playing season” and “other”;
* inserting the words “during the year” after “at such times”; and
* inserting the words “or desirable in the opinion of the Board” after the words “as may be deemed necessary”.

Existing Clause 9.2.1 (as amended)


The Board shall meet at least once a month during the playing season and at such other times during the year as may be deemed necessary or desirable in the opinion of the Board for the transaction of Club business, and for the purpose of such meetings, six directors shall constitute a quorum when there are more than six directors and nine or fewer directors and seven directors shall constitute a quorum when there are more than nine directors. In the event of that number not being present (whether in person or via technology) thirty minutes after the time appointed for any meeting, the meeting shall lapse and business contained in the agenda shall take precedence over all other business at the next meeting of the Board. All directors shall be entitled to vote at all Board meetings.

Explanation:

With the commencement of the Club’s AFLW team in 2020, this creates an additional playing season leading to a significantly longer combined playing season. The Club needs to manage its resources effectively at both Board and management levels to meet the additional demands of overseeing both the AFL and AFLW teams over the longer playing season. Under the present Constitution, the Board must meet monthly during the playing season and these meetings also require the attendance and input from management. The removal of mandatory monthly Board meetings during the playing season gives the Board greater flexibility and ensures that leave requirements for management can be accommodated during any bye round during the playing season. This will be particularly important if the AFLW playing season is extended further in the future. The Board presently has formal board meetings 11 times a year and there is no expectation that this number will reduce in the future.

Resolution Two:

(A) That the definition of “Life Member” in existing Clause 2.1 is amended as below; and

(B) That Clause 3.3.2 is deleted in its entirety and replaced with new Clause 3.3.2.

(A) Existing Clause 2.1 (as amended)

“Life Member” means any person who has been admitted appointed a Life Member in accordance with Clause 3.3.

(B) Existing Clause 3.3.2 (to be deleted)

The Board may in its absolute discretion elect as a Life Member:

(a) a person who has rendered service to the Club for a period of not less than ten years as a player on the rookie list or the senior list (or both) or has played a minimum of 150 senior AFL matches for the Club; or

(b) a VFL / AFL premiership player; or

(c) [deliberately left blank]; or

(d) a person who has rendered service to the Club for a period of not less than ten years, such period being comprised of any of, or any combination of, the following:

   (i) service as a director; or

   (ii) service in a management position in either administration or football; or

   (iii) service as a player on the rookie list or the senior list (or both); or

(e) a person who in the Board’s opinion has rendered outstanding service to the Club in some other capacity which may include but is not limited to:

   (i) senior coach or a premiership team;

   (ii) Brownlow Medallist;

   (iii) twenty years’ service as an official formally appointed to that position by the Club; or

   (iv) outstanding service to or for the benefit of the Club over at least a twenty year period; or

(f) any other person that the Board determines from time to time.


New Clause 3.3.2 (to be inserted)


(a) The Board may appoint a Life Member in accordance with the criteria set out in the by-laws made by the Board (under clause 12 of this Constitution).

(b) The appointment of a Life Member by the Board in accordance with this clause 3.3 takes effect from the date set by the Board.

Explanation:

In keeping with our culture and values, with the commencement of the Club’s AFLW team in 2020, the Board will need to determine life membership criteria for the Club’s AFLW players and any other individuals at the Club who make significant contributions in relation to the Club’s AFLW team and its operations. The current life membership criteria (in Clause 3.3 of the Constitution) does not address this development.

Furthermore, with the AFLW still in its development stage, how it operates will continue to evolve (eg number of rounds) and life membership criteria will need to adapt.

Under Clause 12 of the Constitution, the Board has the power to make and amend by-laws for the proper conduct and management of the Club and the regulation of its affairs.

By moving the life membership criteria from the Constitution into the by-laws, this gives the Board greater flexibility to manage the criteria for AFLW competition contributors as the AFLW competition itself evolves. Should the life membership criteria remain in the Constitution, this could require changes to be proposed at an AGM which is inefficient and expensive for the Club.

Further, among other things, it will allow the Club to address:

* the confusion created by the term “VFL” which currently appears in Clause 3.3.2. This refers to the Victorian Football League before it was renamed the Australian Football League on 1 January 1990 (and not to the current Victorian Football League competition); and

* the removal of the current Clause 3.3.2(e)(iii) as the term “an official formally appointed” is ambiguous and this criteria is otherwise captured by Clause 3.3.2(e)(iv).

The by-laws are read subject to the Constitution and to the extent that there is any inconsistency, the Constitution will prevail.   The benefit of the by-laws is that it provides flexibility as the Board can update the by-laws to deal with the changing needs of the Club. The Club’s by-laws are available on the Club’s website for any person to access. Under Clause 12.2 of the Constitution, the Board must notify members of any amendments to the by-laws.

A draft of the proposed amendments to the Club’s by-laws which incorporates the revised life membership criteria is available on the Club website.
